Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the Koda freight management platform ("Service") provided by Koda Technologies Ltd ("Koda", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Definitions

• "Platform" means the Koda web application accessible at kodatechnologies.co.uk and any associated APIs or services.
• "Organisation" means a business entity that has registered for and been granted access to the Platform.
• "User" means any individual who accesses the Platform on behalf of an Organisation.
• "Shipment Data" means all information, documents, and records uploaded to or generated by the Platform in relation to freight shipments.

3. Access and Account Security

Access to the Platform is granted on a per-Organisation basis following agreement of a commercial contract. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@kodatechnologies.co.uk if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate access to the Platform at any time if we believe these Terms have been violated or if required for security or legal reasons.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform to process any shipment data that is fraudulent, illegal, or in violation of applicable customs, trade, or sanctions regulations.
• Attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure.
• Introduce any malicious code, virus, or disruptive software to the Platform.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use the Platform in a way that could damage, disable, or impair its operation or the experience of other users.
• Share your account credentials with individuals outside your Organisation.

5. Intellectual Property

The Platform, including its design, software, algorithms, and all content created by Koda, is the exclusive property of Koda Technologies Ltd and is protected by applicable intellectual property laws. These Terms do not grant you any rights in the Platform other than the limited right to use it as permitted herein.

You retain ownership of all Shipment Data you upload to the Platform. By uploading data, you grant Koda a limited, non-exclusive licence to process and store that data solely for the purpose of providing the Service.

6. Data Processing

Koda processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where Koda processes personal data on your behalf as part of the Service, the terms of our Data Processing Agreement (available on request) shall apply. Please review our Privacy Policy for full details of how we handle personal data.

7. Service Availability

We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, unplanned outages, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

Koda shall not be liable for any loss or damage arising from the unavailability of the Platform, except as expressly provided in your commercial contract.

8. Limitation of Liability

To the maximum extent permitted by law, Koda Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the Platform.

Our total aggregate liability to you in connection with these Terms or your use of the Service shall not exceed the fees paid by your Organisation to Koda in the twelve months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Koda Technologies Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform in violation of these Terms or applicable law.

10. Third-Party Services

The Platform may integrate with third-party services (including cloud infrastructure, OCR processing, and email providers). Koda is not responsible for the availability, accuracy, or content of any third-party service. Your use of third-party services is subject to those providers' own terms and conditions.

11. Changes to These Terms

We may update these Terms from time to time. We will notify Organisations of material changes by email or in-platform notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
